The 19-year-old forward hit the back of the net 10 times for the U21 side this season and will join Arda Turan as the second Turkish player in La Liga.
Dinçer joined Başakşehir aged 13 and was scouted by Villarreal for months before the transfer was completed.
The former Fenerbahçe youth will become the second Turkish player to join Villarreal after Nihat Kahveci.
Kahveci scored 22 goals and provided 11 assists over 76 appearances for the Spanish side.
The former Turkish international is currently a coach at Villarreal and will help Dinçer settle into life in Spain.
Başakşehir recently setup an academy in Istanbul in partnership with Atletico Madrid.
The project will be the first of its kind in Turkey and the La Liga champions first foray into the Turkish market.
